These Terms & Conditions (“Terms”) govern your access to and use of the Cloze website and service (the “Service”), provided by Kenneth A Holm III, trading as Cloze (“Cloze”, “we”, “us”). By creating an account or otherwise using the Service, you agree to these Terms.

1. The Service

Cloze is a memorization tool that turns text passages into interactive fill-in-the-blank quizzes. We grant you a limited, non-exclusive, non-transferable right to use the Service for your personal or internal business purposes, in accordance with your selected plan.

You must provide accurate information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

You retain ownership of the text and other content you submit to the Service. You grant us a limited, worldwide license to host, store, process, and display your content solely as necessary to provide and improve the Service. You are responsible for ensuring you have the rights to any content you upload.

5. Intellectual property

The Service, including its software, design, documentation, and Cloze branding, is owned by Kenneth A Holm III and protected by intellectual property laws. Except for the limited license granted above, no rights are transferred to you.

6. Payments, subscriptions, and refunds — Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment terms, billing frequency, taxes, automatic renewal of subscriptions, cancellation mechanics, and refund handling are governed by Paddle’s Buyer Terms. Subscriptions renew automatically for successive periods at the then-current price until canceled. You can cancel at any time through the customer portal; cancellation takes effect at the end of your current billing period. Our refund policy is available at /refund.

7. Service availability and disclaimers

The Service is provided “as is” and “as available”. We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the fees you paid to us (via Paddle) in the twelve (12) months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is not permitted by law.

9. Indemnification

You agree to indemnify and hold Kenneth A Holm III harmless from any claims, damages, or expenses arising out of your content, your use of the Service in violation of these Terms, or your violation of any applicable law or third-party right.

10. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay any amount when due, pose a security or fraud risk, or repeatedly violate our policies. You may stop using the Service and close your account at any time. On termination, your right to use the Service ends. We will make reasonable efforts to allow you to export your content for a limited period before deletion, subject to legal retention obligations.

11. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Material changes will be communicated through the Service or by email where appropriate. Continued use after the effective date constitutes acceptance.

12. Governing law and disputes

These Terms are governed by the laws of the State of residence of Kenneth A Holm III, without regard to its conflict-of-laws principles. The courts located there will have exclusive jurisdiction over any dispute, subject to any non-waivable consumer rights.

13. Assignment and force majeure

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond reasonable control.
